1. Scope of Services

Greenleap provides consulting services related to product strategy, digital products, and applications. The scope of services will be determined based on the consultation discussions and agreements.

2. No Guarantees

Our consulting services are advisory in nature and are provided based on information available at the time. We do not guarantee specific outcomes, results, or financial success as a result of our advice.

3. Limitation of Liability
To the maximum extent permitted by law:
Greenleap is not liable for any damages, losses, or claims arising from your reliance on our services, including but not limited to business loss, missed opportunities, or operational issues.
Our liability, if any, is limited to the fees paid for our services in the six months preceding the claim.

4. Client Responsibilities
You are responsible for: Providing accurate, complete, and timely information for the consulting process.
Making all final decisions regarding the implementation of any advice or recommendations provided by Greenleap.

5. Confidentiality
Both parties agree to keep all discussions, documents, and materials shared during the consulting engagement confidential. This excludes information required to be disclosed by law.

6. Indemnification
You agree to indemnify and hold Greenleap harmless from any claims, damages, or losses, including legal fees, arising from your use of our services or any third-party reliance on decisions you make based on our advice.

7. Termination of Services
Either party may terminate the consulting engagement at any time by providing written notice. Fees for services rendered up to the date of termination will remain payable.

8. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia, Canada. Any disputes will be subject to the exclusive jurisdiction of the courts in British Columbia.

9. Entire Agreement
These Terms represent the entire agreement between you and Greenleap regarding our consulting services. Any amendments must be made in writing and agreed upon by both parties.

10. Disclaimer
By using Greenleap’s services, you acknowledge that all advice and recommendations are provided "as-is" and are based on our professional judgment. You agree not to hold Greenleap responsible for any decisions, outcomes, or unforeseen circumstances resulting from your reliance on our advice.
